Our Approach
Section 12J: Investor implications
12Cape Limited is a SARS approved Section 12J Venture Capital Company (0092) & Authorised FSP (48880). In terms of Section 12J an investor may deduct their investment in 12CAPE from their taxable income in the year the investment is made*. This tax deduction equates to an immediate cash benefit of up to 45% (at the maximum marginal tax rate).
As a result, investor returns are enhanced without a commensurate increase in risk. The amount by which returns are enhanced is a function of each investor’s average tax rate. For the deduction to become permanent the investor must hold their 12CAPE shares for at least 5 years, and upon disposal of the investment capital gains tax will be calculated using a zero base cost.
The deduction is limited to R2.5m per individual / trust and R5m per company per year.
When investing in a Section 12J company, have comfort around:
The underlying investment strategy, and the team’s appreciation for the underlying risk / return profile.
The qualifications, reputation and experience of the investment team.
The fees charged to investors - they should be transparent and fair to all stakeholders

Interested investors are also welcome to research similar regimes internationally as we have done, most notably the “EIS” and “VCT” regimes which have been employed in the UK for many years.
*Each investor must obtain their own tax advice to ensure they qualify for a deduction in terms of Section 12J.
